Terms of Service

1. Service Description
RateMind is a reputation management SaaS platform operated by SKAJ Ventures GmbH ("we", "us", "our"). The service helps businesses collect customer feedback via surveys, QR codes, and email invitations. Positive feedback is routed to external review platforms; detailed internal feedback is captured for improvement.
2. Account Creation and Responsibility
You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. You must notify us immediately if you suspect unauthorized access. Each account is for a single organization. You may invite team members, but you remain responsible for their actions within the platform.
3. Plan Tiers and Billing
RateMind offers multiple plan tiers including a free tier with limited features. Paid plans are billed monthly or annually through Stripe. Prices are listed on our pricing page and may change with 30 days notice. Downgrades take effect at the end of the current billing period. Refunds are not provided for partial billing periods.
4. Acceptable Use
You agree not to:
- Use the service for spam, phishing, or unsolicited bulk messaging.
- Collect feedback from minors (under 16) without parental consent.
- Upload malicious content or attempt to exploit vulnerabilities.
- Misrepresent survey origins or impersonate other organizations.
- Use the service in violation of applicable laws, including GDPR and the German UWG (Unfair Competition Act).
We reserve the right to suspend or terminate accounts that violate these terms.
5. Intellectual Property
The RateMind platform, including its source code, design, and documentation, is owned by SKAJ Ventures GmbH. Your content (survey configurations, feedback data) remains yours. By using the service, you grant us a limited license to process your content solely for providing the service.
6. Data Processing
We process personal data in accordance with our Privacy Policy. If you use RateMind to collect feedback that includes personal data from your customers, you are the data controller for that data. We act as a data processor on your behalf under Art. 28 GDPR. A Data Processing Agreement is available upon request.
7. Service Availability
We aim to provide reliable service but do not guarantee specific uptime. The free tier has no SLA. Paid plans include best-effort availability. Scheduled maintenance will be announced in advance when possible. We are not liable for service interruptions caused by third-party providers, network issues, or force majeure.
8. Termination and Data Export
You may cancel your account at any time through your account settings. Upon cancellation:
- Active subscriptions continue until the end of the billing period.
- You can export your data before account deletion.
- Account deletion is permanent and triggers crypto-shredding of all associated data.
We may terminate accounts that violate these terms, remain inactive for over 12 months (free tier), or are used for illegal purposes.
9. Limitation of Liability
To the extent permitted by German law:
- We are liable without limitation for damages caused by intent or gross negligence.
- For slight negligence, we are only liable for breach of material contractual obligations (Kardinalpflichten). In such cases, liability is limited to foreseeable, contract-typical damages.
- Liability for damages to life, body, or health remains unaffected.
- We are not liable for data loss to the extent you could have prevented it by maintaining your own backups.
10. Governing Law and Jurisdiction
These terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes is Potsdam, Germany, to the extent permitted by law.
11. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect. The unenforceable provision shall be replaced by one that comes closest to its economic purpose.
